Details of auditor transition

NevGold Corp. has officially transitioned from Smythe LLP to Manning Elliott LLP as its auditor. This decision followed a notification from Smythe LLP that it would stop offering audit services for public corporations in the future.

On August 7, 2026, the board of directors agreed to Smythe LLP's resignation. They also appointed Manning Elliott LLP as the new auditor. The new firm will remain in position until the next annual meeting of shareholders.

Smythe LLP’s audit reports for the past two financial years showed no issues or concerns. Additionally, there are no reportable events under NI 51-102 between NevGold and Smythe LLP. The change in auditors is being handled in line with the rules set out in NI 51-102. The necessary documents have been reviewed by both the audit committee and the board, and they’ve been uploaded to the company’s profile on SEDAR+.

Shift of corporate jurisdiction

NevGold has submitted an application to move its registered location from Alberta to British Columbia under the Business Corporations Act of British Columbia. This move was approved by shareholders during a combined annual and special meeting on July 13, 2026.

The move requires final approval from the TSX Venture Exchange before it can happen. Shareholders can find more information in the company’s management information circular, which is available on SEDAR+ at www.sedarplus.ca.

Importantly, the company's CUSIP and ISIN numbers and stock symbol will remain unchanged after the corporate relocation.
