Deep Sea Minerals Corp., a Vancouver-based company focused on seabed mineral exploration and development, has secured regulatory approval for its C$50 million base shelf prospectus. Filed with Canadian securities authorities on July 28, 2026, the final receipt for the prospectus marks a key development in the company’s strategic capital-raising efforts. This step aligns with its ongoing application to list its common shares on the Nasdaq Capital Market, as it moves closer to expanding its market presence.

The approved shelf prospectus enables the company to distribute a wide range of securities, including common shares, warrants, subscription receipts, units, and debt instruments, over a 25-month period. The total value of any offerings under the prospectus can reach up to C$50 million, or its equivalent in other currencies like U.S. dollars. The offering is valid across all Canadian provinces and territories with the exception of Nova Scotia.

A step toward Nasdaq

Securing the final receipt for the shelf prospectus is a critical step for Deep Sea Minerals. The company has stated that the prospectus will allow it to enhance its visibility among U.S. institutional and retail investors. It also aims to diversify and strengthen its access to capital markets. A successful Nasdaq listing, however, is still conditional. The company must satisfy all Nasdaq listing requirements, secure all necessary regulatory approvals, and complete the customary steps required for listing.

James Deckelman, CEO of Deep Sea Minerals, emphasized the significance of the approval. He stated that the prospectus enhances the company’s financial flexibility and supports its plans for an uplisting to Nasdaq. 'This is another significant step in support of our planned Nasdaq uplisting,' he said, highlighting the potential benefits for investor engagement and long-term growth.

What the offering will fund

The company has outlined its intended use for the proceeds from any future offering under the shelf prospectus. Funds will be directed toward advancing applications for subsea mineral rights, preparing for operational readiness in seabed exploration, and covering working capital and general corporate expenses. Importantly, the company clarified that no securities are currently being offered, and the specific terms of any future offering—such as the number of securities, pricing, and use of proceeds—will be determined and disclosed in a prospectus supplement at the time of the offering.

The final base shelf prospectus and receipt are available for public review under the company’s profile on SEDAR+. Any actual offering under the prospectus will require an additional prospectus supplement to be filed, in compliance with relevant Canadian securities laws.

Deep Sea Minerals' seabed focus

Deep Sea Minerals Corp. is dedicated to the exploration and development of seabed mineral resources, particularly polymetallic nodules. These nodules are known to contain a mix of valuable metals that are important to modern industries. These include defense, clean energy infrastructure, advanced electronics, and artificial intelligence-related supply chains. The company has started early-stage discussions with specific governments in the Pacific region to explore potential pathways for its mineral exploration, all while operating within the framework of international and environmental regulations.

The global seabed mining industry is attracting growing attention from governments, scientists, and regulatory bodies around the world. With increasing interest in sustainable resource development and new supply sources, Deep Sea Minerals aims to position itself as a long-term player in an emerging sector. The company’s strategy is focused on identifying promising geological settings and jurisdictions with potential access to polymetallic nodule systems, which represent a largely untapped component of the global mineral supply base.

“Receiving the final receipt for our C$50 million Shelf Prospectus is an important milestone for Deep Sea Minerals and our broader capital-market strategy”
